Use TMPGenc. It's really awesome and it's freeware! ;)

I'm not sure but maybe you need some codecs. I highly recommend XP Codec Pack, it has tons of codecs for audio and video problems. :)

There's a program I use to convert files into MP3, it really works! It's called Switch. Do a search in download.com and you'll find it! Plus, it's freeware! :D ;) Hope I've helped!
